Terms of Service

By accessing or using GemKit Studio (“the Service”) at gemkitstudio.com, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is operated by MUTAFS, LLC, a limited liability company registered in Wyoming, USA (“we”, “us”). Address: 30 N Gould St, Ste 4000, Sheridan, WY 82801-6317, USA.

GemKit Studio is an AI-powered tool for jewelry sellers that automates product classification, studio image generation, video creation, listing copywriting, and publishing to third-party marketplaces including Etsy and Shopify. The Service is provided on a credit-based subscription model.

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must be at least 18 years old to use the Service.
• You may not create more than one account per person without our written permission.
• You are responsible for all activity that occurs under your account.

• The Service operates on a prepaid credit system. Each AI operation consumes a defined number of credits.
• New accounts receive 50 free credits on signup.
• Refunds: If you cancel your subscription within 30 days of purchase, we refund the fee. For the first 20 beta customers the refund is unconditional — you get the full amount back regardless of how many credits you have already spent. Once that quota is filled, the 30-day refund covers unused credits only; spent credits are not refundable because the generation cost cannot be recovered.
• Outside the refund right above, purchased credits are non-refundable except where required by applicable law.
• We may change credit prices with 30 days' notice.
• Credits have no cash value and cannot be transferred between accounts.

You agree not to:

• Upload content that violates any law, infringes intellectual property rights, or depicts illegal activity.
• Use the Service to create counterfeit or misleading product listings.
• Attempt to reverse-engineer, scrape, or abuse the Service's APIs or AI systems.
• Circumvent rate limits or credit checks.
• Share your account credentials or allow unauthorized access to your workspace.
• Use the Service in any way that violates Etsy's, Shopify's, or any other marketplace's Terms of Service.
• Upload photos, images, logos or designs you do not have the rights to — including another brand's product photos, a photographer's or agency's work, or another company's designs.
• Use the face, likeness or identity of an identifiable person (a model, a celebrity or anyone else) without their explicit permission, or create content that impersonates a real person or shows them in a situation that did not happen.
• Create counterfeit goods, fake documents, fake reviews or content intended to defraud; or mislead buyers about a product's origin, brand, materials or features.

When you connect your Etsy or Shopify store, you remain responsible for ensuring that all content published via GemKit Studio complies with those platforms' policies, including their listing rules, image policies, and seller agreements. GemKit Studio is not liable for any violation of marketplace policies that results from content you generate and publish through the Service.

The term “Etsy” is a trademark of Etsy, Inc. This Application uses Etsy's API, but is not endorsed or certified by Etsy.

Disclaimer: This application is solely provided by GemKit Studio (the “Application Developer”). You acknowledge that Etsy, Inc. and its affiliates are not the Application Developer, do not provide the application service, and make no warranties of any kind with respect to the application or data accessed through it.

• Your content: You retain whatever rights you have in the content you upload and the AI content generated from it in your workspace. This does not mean that content is free of third-party rights; see section 8.
• Our content: The GemKit Studio platform, software, UI, and all associated intellectual property belong to us. You may not copy, modify, or distribute our software.
• License to us: By uploading content, you grant us a limited, non-exclusive license to process and store it solely to provide the Service to you.
• Optional improvement permission: if you give explicit permission at signup (or later in your workspace settings), we may use the worn (on-model) photos you upload inside GemKit as hidden size references when generating images of other products — including other users' — and to improve our own models. These photos are never shown to any user, never sold and never leave our system, except that they are passed to the AI provider we use for image generation for processing. The permission is off by default and can be withdrawn at any time.

• You represent that you own every photo and material you upload, or hold all permissions and licenses needed to use it this way.
• If an identifiable person appears in content you upload or generate, you represent that they have explicitly consented to their likeness being used for this purpose.
• AI-generated content may resemble other people's works, trademarks or likenesses. We do not warrant that generated content is free of third-party rights. Reviewing any output before using it in sales, advertising or any commercial context — and every consequence of that use — is your responsibility.
• You alone are responsible for how you use the Service, what you upload, what you generate and where you publish it. We have no obligation to pre-screen uploaded or generated content.

You agree to defend, indemnify and hold harmless MUTAFS, LLC, its officers, employees and service providers from and against any claims, actions, damages, losses, fines and expenses (including reasonable attorneys' fees) arising out of content you upload or generate, the way you use or publish that content, your breach of these Terms, or your violation of any law or third-party right (including copyright, trademark, design, publicity and likeness rights).

If you believe content on the Service infringes your rights, write to kaanmutaf@gemkitstudio.com with: the rights holder's name and contact details, a description of the work you believe is infringed, where the infringing content is located, a statement that you act in good faith and that the notice is accurate, and your signature.

On receiving a valid notice we may remove or disable access to the content. We terminate the accounts of repeat infringers. We reserve the right to remove, without notice, any content we believe violates these Terms, and to cooperate with competent authorities.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL MEET YOUR EXPECTATIONS. AI-GENERATED CONTENT MAY CONTAIN INACCURACIES — YOU ARE RESPONSIBLE FOR REVIEWING AND APPROVING ALL CONTENT BEFORE PUBLISHING.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM.

We may suspend or terminate your account at any time for violation of these Terms. You may delete your account at any time by contacting us at kaanmutaf@gemkitstudio.com. Upon termination, your data will be deleted per our Privacy Policy.

We may update these Terms with 14 days' notice for material changes (via email or in-app notification). Continued use after the effective date constitutes acceptance.

These Terms are governed by the laws of the State of Wyoming, USA, where MUTAFS, LLC is registered, and any disputes shall be resolved in the courts of Wyoming. This does not affect any rights granted to you by mandatory consumer protection law in your country of residence.
